1. Who we are
These Terms of Use are between you and PatientLock, LLC, a Kansas limited liability company ("PatientLock," "we," "us," or "our"). They apply to patientlock.ai and other PatientLock-operated public web properties, documentation, research, and evaluation experiences that link to these Terms.
2. Commercial services are governed separately
These Terms do not replace the commercial agreement for a customer engagement. Paid PatientLock services are governed by the Master Services Agreement together with the applicable Service Order or Statement of Work. Installation and use of PatientLock software are also subject to the Software License Agreement where incorporated into the engagement.
If documents conflict, the order of precedence stated in the executed commercial documents controls.
3. Permitted use
You may use PatientLock public resources for lawful informational, evaluation, and authorized business purposes. You may not interfere with the service, attempt unauthorized access, misuse another party's data or credentials, introduce malicious code, bypass access controls, or use PatientLock systems in a manner that violates applicable law or the Acceptable Use Policy.
4. Accounts
Where an account is required, you are responsible for providing accurate information, protecting credentials, using the account only within your authority, and promptly reporting suspected unauthorized access.
5. Intellectual property
PatientLock and its licensors retain their rights in PatientLock software, documentation, designs, research, trademarks, trade secrets, and other intellectual property. These Terms do not transfer ownership of PatientLock intellectual property to you.
Customer-specific ownership and license rights for paid deliverables are governed by the applicable MSA, Service Order, or SOW.
6. Research, models, and public content
PatientLock research, RCI outputs, scenario analysis, and similar public material describe methods, observations, or modeled behavior. Unless an executed agreement expressly says otherwise, they are not actuarial determinations, insurance coverage decisions, legal advice, or guarantees that a security event will or will not occur.
7. Privacy
Our handling of personal information is described in the Privacy Policy. Customer data processed as part of a paid service is additionally governed by the applicable commercial agreement and, when required, the Data Processing Agreement or Business Associate Agreement.
8. Third-party services
PatientLock may link to or interoperate with third-party products and services. Third-party terms may apply to those products. PatientLock's current subprocessor disclosures are maintained on the Subprocessors page.
9. Disclaimers and liability
Public website content and no-charge evaluation materials are provided on an "as is" and "as available" basis to the maximum extent permitted by law. PatientLock disclaims implied warranties for those public and evaluation materials. Liability for paid services is governed by the applicable MSA and executed commercial documents.
10. Changes and termination
PatientLock may update or discontinue public website features and may revise these Terms prospectively by posting an updated version. Changes to an executed commercial agreement are governed by that agreement, not by this section.
11. Governing law
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law rules. Commercial dispute procedures are governed by the applicable executed agreement.
